Terms of Service

1. Acceptance of Terms

By creating an account or using ClientForms (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a practice, clinic, or organisation, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use the Service.

2. Service Description

ClientForms is a clinical assessment platform that enables healthcare professionals to:

• Send standardised clinical assessment forms to patients via secure links
• Collect patient responses digitally
• View automatically scored results and severity classifications
• Track patient progress over time with symptom timeline charts
• Create assessment bundles (batteries) for multi-form sessions
• Export assessment data for clinical records

The Service is available to clinicians in Australia and New Zealand. Availability in additional jurisdictions will be communicated as it becomes available.

3. Account Terms

• You must be a qualified healthcare professional (or acting on behalf of one) to use the clinical features of the Service.
• You are responsible for maintaining the security of your account credentials.
• You must provide accurate information during registration, including your country of operation.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at support@clientforms.app if you suspect unauthorised access.
• One person or entity may not maintain more than one account without prior approval.

4. Acceptable Use

You agree not to:

• Use the Service for any purpose other than legitimate clinical assessment
• Attempt to access another clinician's data or patients
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to store or transmit malicious code
• Interfere with or disrupt the Service or its infrastructure
• Use automated tools to scrape, crawl, or extract data from the Service beyond its intended use
• Resell or redistribute the Service without prior written consent

5. Subscriptions and Payment

• Free tier: Includes a limited number of assessment responses. No payment required.
• Paid plans: Charged monthly or annually via Stripe. Prices are displayed in your local currency at the time of subscription.
• Billing: Paid plans are billed in advance. You authorise us to charge your payment method on each billing cycle.
• Cancellation: You may cancel your subscription at any time from your account settings. Access continues until the end of the current billing period.
• Refunds: We do not offer refunds for partial billing periods. If you believe you have been incorrectly charged, contact support@clientforms.app.
• Price changes: We may change pricing with 30 days' notice. Existing subscribers will be notified by email before any price increase takes effect.

6. Data Ownership

Your data belongs to you.

• You retain all rights to patient data and assessment responses entered through the Service.
• We do not claim ownership of your clinical data.
• You grant us a limited licence to process your data solely for the purpose of providing the Service.
• You may export your data at any time. We will provide reasonable assistance with data export upon request.
• Upon account termination, your data will be retained for the applicable retention period (see our Privacy Policy), after which it will be securely deleted.

7. Intellectual Property

The Service, including its design, code, branding, and documentation, is the intellectual property of ClientForms. Some assessment instruments implemented in the Service are based on publicly available, validated clinical tools (e.g., PHQ-9, GAD-7, DASS-21) and remain the intellectual property of their respective authors. We do not claim copyright over the content of these instruments.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to provide advance notice of planned maintenance. We are not liable for any loss arising from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided “as is” without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim arising from or relating to the Service is limited to the amount you paid us in the 12 months preceding the claim.
• We are not liable for clinical decisions made using data from the Service.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including the Australian Consumer Law or the New Zealand Consumer Guarantees Act 1993.

11. Indemnity

You agree to indemnify and hold harmless ClientForms from any claims, damages, or expenses arising from: (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any applicable law or regulation, or (d) any clinical decisions made using data obtained through the Service.

12. Termination

• By you: You may terminate your account at any time by contacting support@clientforms.app.
• By us: We may suspend or terminate your account if you breach these Terms, fail to pay subscription fees, or engage in activity that threatens the security or integrity of the Service.
• Effect of termination: Upon termination, your right to use the Service ceases immediately. We will retain your data for the applicable retention period as described in our Privacy Policy.
• Data export: We will provide reasonable assistance with data export upon request before or within 30 days after account termination.

13. Governing Law

For clinicians based in Australia, these Terms are governed by the laws of Queensland, Australia. You submit to the non-exclusive jurisdiction of the courts of Queensland.

For clinicians based in New Zealand, these Terms are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of the courts of New Zealand.

Both parties agree to attempt to resolve any dispute through good-faith negotiation before commencing legal proceedings.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service and close your account.
